1. Purpose and legal framework

Ánima Kitchent has an Internal Information System to allow people related to the company to report irregularities safely and without fear of retaliation, in accordance with Directive (EU) 2019/1937 and Spanish Law 2/2023, of 20 February, regulating the protection of persons who report regulatory breaches and the fight against corruption.

The system applies to the group companies: Ánima Kitchent Media, S.L.U. (B86881885), Ánima Kitchent Canarias, S.L. (B76259498) and Ánima Consumer Digital Services, S.L. (B06784185).

2. What can be reported

  • Actions or omissions that may constitute breaches of European Union law within the scope of Directive 2019/1937.
  • Acts that may constitute serious or very serious criminal or administrative offences, including those involving financial loss to the Public Treasury or Social Security.
  • Breaches of labour law on occupational health and safety.
  • Breaches of the company's internal policies and codes (for example, harassment, conflicts of interest or misuse of resources).

Interpersonal complaints that only affect the reporter and do not fall within these areas should be raised through the usual HR channels.

3. Who can report and who is protected

Employees and former employees, candidates, interns and trainees, volunteers, self-employed collaborators, shareholders and members of the governing bodies, and anyone working for contractors, subcontractors or suppliers. Protection also extends to those who assist the reporter, related third parties (such as colleagues or relatives) and legal persons owned by the reporter.

4. How to report

  • In person: you may request a face-to-face meeting with the System Manager within a maximum of seven days, by writing to info@animakitchent.com with the subject "Confidential – System Manager" [VERIFY: dedicated address, e.g. compliance@animakitchent.com].

Describe the facts as precisely as possible (what, when, who, where) and attach any evidence you have. If you report anonymously, keep a record of how to access the follow-up so we can request further information.

5. Procedure and deadlines

  1. Acknowledgement of receipt within seven calendar days.
  2. Admission and investigation by the System Manager, respecting the presumption of innocence and the right of the persons concerned to be heard.
  3. Response within a maximum of three months from acknowledgement, extendable by another three months in particularly complex cases.
  4. If the facts may constitute a crime, they will be referred to the Public Prosecutor's Office.

6. System Manager

The Internal Information System is managed by [VERIFY: name and position of the System Manager appointed by the governing body], who acts independently and has the necessary resources. 7. Guarantees

  • Confidentiality of the reporter's identity and of any third party mentioned. Identity may only be disclosed to the judicial authority, the Public Prosecutor or the competent administrative authority.
  • Anonymous reports are accepted.
  • Prohibition of retaliation of any kind (dismissal, demotion, change of conditions, intimidation, blacklisting, etc.), including threats and attempts.
  • Persons concerned have the right to the presumption of innocence, to honour and to be heard.

8. External channels

You may also report, directly or after using the internal channel, to the Independent Authority for Whistleblower Protection (A.A.I.), to the competent regional authorities or, where applicable, to the institutions, bodies and agencies of the European Union.

9. Personal data

Personal data in reports are processed by the controller of the Internal Information System to manage and investigate the report, in compliance with a legal obligation (art. 6.1.c GDPR and art. 30 of Law 2/2023). Access is restricted to the System Manager and, where necessary, to those who must take disciplinary or legal action. Data not relevant to the investigation are deleted immediately; data are deleted after three months if no investigation has been opened, and in any case kept no longer than necessary and never more than ten years. You can exercise your rights as explained in the Privacy Policy; the identity of the reporter is never disclosed to the person concerned.

1. Objeto y marco legal

Ánima Kitchent dispone de un Sistema Interno de Información para que las personas vinculadas a la empresa puedan comunicar irregularidades de forma segura y sin temor a represalias, conforme a la Directiva (UE) 2019/1937 y a la Ley 2/2023, de 20 de febrero, reguladora de la protección de las personas que informen sobre infracciones normativas y de lucha contra la corrupción.

El sistema se aplica a las sociedades del grupo: Ánima Kitchent Media, S.L.U. (B86881885), Ánima Kitchent Canarias, S.L. (B76259498) y Ánima Consumer Digital Services, S.L. (B06784185).

2. Qué se puede comunicar

  • Acciones u omisiones que puedan constituir infracciones del Derecho de la Unión Europea en el ámbito de la Directiva 2019/1937.
  • Hechos que puedan constituir infracciones penales o administrativas graves o muy graves, incluidas las que impliquen quebranto económico para la Hacienda Pública o la Seguridad Social.
  • Infracciones del Derecho laboral en materia de seguridad y salud en el trabajo.
  • Incumplimientos de las políticas y códigos internos de la empresa (por ejemplo, acoso, conflictos de interés o mal uso de recursos).

Las quejas interpersonales que solo afecten a quien informa y no entren en estos ámbitos deben tramitarse por los cauces habituales de Recursos Humanos.

3. Quién puede informar y quién está protegido

Personas trabajadoras y extrabajadoras, candidatas, becarias y en prácticas, voluntarias, colaboradoras autónomas, accionistas y miembros de los órganos de gobierno, y cualquier persona que trabaje para contratistas, subcontratistas o proveedores. La protección se extiende también a quienes asistan a la persona informante, a terceros relacionados con ella (compañeros, familiares) y a las personas jurídicas de su propiedad.

4. Cómo informar

  • Formulario online (por escrito y, si lo desea, anónimo): https://forms.gle/5AZ2w43BKbCX5sM49
  • Presencialmente: puede solicitar una reunión con el Responsable del Sistema, que se celebrará en un plazo máximo de siete días, escribiendo a info@animakitchent.com con el asunto «Confidencial – Responsable del Sistema» [VERIFICAR: dirección específica, p. ej. compliance@animakitchent.com].

Describa los hechos con la mayor precisión posible (qué, cuándo, quién, dónde) y adjunte las pruebas de que disponga. Si informa de forma anónima, conserve el modo de acceder al seguimiento para que podamos pedirle más información.

5. Procedimiento y plazos

  1. Acuse de recibo en un plazo de siete días naturales.
  2. Admisión e investigación por el Responsable del Sistema, respetando la presunción de inocencia y el derecho de las personas afectadas a ser oídas.
  3. Respuesta en un plazo máximo de tres meses desde el acuse de recibo, ampliable otros tres meses en casos de especial complejidad.
  4. Si los hechos pudieran ser constitutivos de delito, se remitirán al Ministerio Fiscal.

6. Responsable del Sistema

El Sistema Interno de Información está gestionado por [VERIFICAR: nombre y cargo del Responsable del Sistema designado por el órgano de administración], que actúa con independencia y dispone de los medios necesarios. 7. Garantías

  • Confidencialidad de la identidad de la persona informante y de cualquier tercero mencionado. Solo podrá revelarse a la autoridad judicial, al Ministerio Fiscal o a la autoridad administrativa competente.
  • Se admiten comunicaciones anónimas.
  • Prohibición de represalias de cualquier tipo (despido, degradación, cambio de condiciones, intimidación, listas negras, etc.), incluidas las amenazas y tentativas.
  • Las personas afectadas tienen derecho a la presunción de inocencia, al honor y a ser oídas.

8. Canales externos

También puede informar, directamente o tras usar el canal interno, ante la Autoridad Independiente de Protección del Informante (A.A.I.), ante las autoridades autonómicas competentes o, en su caso, ante las instituciones, órganos y organismos de la Unión Europea.

9. Datos personales

Los datos personales de las comunicaciones se tratan por el responsable del Sistema Interno de Información para gestionar e investigar la comunicación, en cumplimiento de una obligación legal (art. 6.1.c RGPD y art. 30 de la Ley 2/2023). El acceso se limita al Responsable del Sistema y, cuando sea necesario, a quienes deban adoptar medidas disciplinarias o legales. Los datos que no sean pertinentes se suprimen de inmediato; se eliminan a los tres meses si no se ha iniciado investigación y, en todo caso, no se conservan más del tiempo necesario ni más de diez años. Puede ejercer sus derechos como se explica en la Política de Privacidad; la identidad de quien informa nunca se comunica a la persona afectada.
